Terms of Service

Agreement to Terms

By downloading, accessing, or using MoodLift ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legal agreement between you and Babylon Inc ("we," "us," or "our").

Eligibility

You must be at least 13 years old to use MoodLift. If you are between 13 and 18 years old, you must have your parent or legal guardian's permission to use the App. By using the App, you represent that you meet these requirements.

License Grant

Subject to your compliance with these Terms, Babylon Inc grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for personal, non-commercial purposes on devices you own or control.

You may not:

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse engineer, decompile, or attempt to extract the source code of the App
• Remove, alter, or obscure any proprietary notices from the App
• Use the App in any way that violates applicable laws or regulations
• Use the App to harm, harass, or violate the rights of others

Subscription Terms

MoodLift Premium

MoodLift offers optional premium features through auto-renewable subscriptions managed by Apple:

• Monthly Subscription: Billed monthly
• Annual Subscription: Billed annually

Billing and Renewal

• Payment will be charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your Apple ID account settings
• Prices are subject to change with notice

Free Trial

If we offer a free trial, you will be charged the subscription fee after the trial period ends unless you cancel before the trial expires. Free trials are available only once per Apple ID account.

Cancellation and Refunds

You may cancel your subscription at any time through your Apple ID settings. Cancellation takes effect at the end of the current billing period. Refunds are handled by Apple according to their refund policy. We do not provide refunds directly.

User Content and Data

As described in our Privacy Policy, all data you create in MoodLift stays on your device. You retain all rights to your data. By using the App, you acknowledge that:

• You are responsible for maintaining the security of your device
• You are responsible for backing up your data (though the App does not currently offer cloud backup)
• We are not responsible for data loss due to device failure, app deletion, or other causes
• We do not have access to your data and cannot recover it for you

Intellectual Property

The App, including its design, code, content, graphics, and functionality, is owned by Babylon Inc and protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• The App will meet your specific needs or expectations
• Any content or recommendations in the App are accurate, complete, or reliable
• Defects in the App will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BABYLON INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or use of your device or data
• Any bugs, viruses, or other harmful code that may be transmitted through the App
• Any errors or omissions in any content
• Any decisions made based on information provided by the App

Indemnification

You agree to indemnify, defend, and hold harmless Babylon Inc, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the App or violation of these Terms.

Changes to the App

We reserve the right to modify, suspend, or discontinue the App or any features at any time without notice or liability. We may also impose limits on certain features or restrict access to parts or all of the App without notice.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or other means. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

Termination

We may terminate or suspend your access to the App at any time, with or without cause or notice. Upon termination, your license to use the App immediately ends. You may terminate this agreement by deleting the App from your device.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Babylon Inc is registered, without regard to conflict of law principles. Any disputes arising from these Terms or the App shall be resolved through binding arbitration, except where prohibited by law.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Babylon Inc regarding the App and supersede all prior agreements and understandings.
